1Aceptación de los Términos
Bienvenido a 11RED.ai (“11RED”, “nosotros”), un producto de Refugio AI. Estos Términos de Uso (“Términos”) rigen tu acceso y uso de nuestra plataforma, productos y servicios, incluyendo Claro Invoice (en conjunto, los “Servicios”).
Al acceder o usar los Servicios, aceptas quedar obligado por estos Términos. Si no estás de acuerdo, no uses los Servicios.
2Descripción de los Servicios
11RED.ai ofrece herramientas, flujos de trabajo y software con inteligencia artificial para apoyar la operación, la automatización y la toma de decisiones de un negocio. Esto incluye Claro Invoice, que te permite crear facturas por voz, cobrar depósitos, programar planes de pago y aceptar pagos con tarjeta y transferencia bancaria.
Podemos actualizar, modificar o descontinuar funciones en cualquier momento sin aviso previo.
3Elegibilidad y Cuentas
- Debes tener al menos 18 años y capacidad legal para celebrar un contrato.
- Te comprometes a dar información de cuenta exacta y completa.
- Eres responsable de mantener la confidencialidad de tus credenciales y de toda actividad en tu cuenta.
4Uso Aceptable
Aceptas no:
- Usar los Servicios con fines ilícitos o fraudulentos
- Aplicar ingeniería inversa, copiar o intentar extraer el código fuente
- Interferir con los Servicios o su infraestructura
- Usar sistemas automatizados (bots, scrapers) sin permiso
- Violar cualquier ley o reglamento aplicable
Violar estos términos puede resultar en la suspensión o terminación de tu acceso.
5Propiedad Intelectual
Todo el contenido, software y materiales de los Servicios (el “Contenido”) son propiedad de Refugio AI o de sus licenciantes y están protegidos por las leyes de propiedad intelectual.
Te otorgamos una licencia limitada, no exclusiva e intransferible para usar los Servicios con fines internos de tu negocio.
No puedes:
- Copiar, modificar o distribuir el Contenido
- Vender o sublicenciar el acceso a los Servicios
- Usar nuestras marcas sin permiso
6Datos del Usuario y Resultados
- Conservas la propiedad de los datos que envías a los Servicios (“Datos del Usuario”).
- Otorgas a 11RED una licencia para tratar y usar tus datos con el fin de prestar y mejorar los Servicios.
- Los resultados generados por IA —incluyendo facturas dictadas por voz y sus traducciones— se entregan “tal cual”, y eres responsable de revisarlos y validarlos antes de usarlos.
7Pagos y Suscripciones
- Ciertas funciones pueden requerir pago o suscripción.
- Las cuotas se cobran según lo acordado al registrarte y no son reembolsables salvo que se indique lo contrario.
- Podemos cambiar los precios con aviso previo.
La falta de pago puede resultar en la suspensión o terminación de los Servicios.
Procesamiento de pagos (Claro Invoice)
Los pagos que cobras a través de Claro Invoice son procesados por Finix Payments, Inc. y sus bancos asociados. Para aceptar pagos debes completar la verificación de comercio y aceptar el Acuerdo de Procesamiento de Pagos correspondiente, que se suma a estos Términos.
Las comisiones vigentes por tarjeta, por transferencia bancaria y por transferencia devuelta son las publicadas en la página de precios al momento de tu registro. Nos autorizas a debitar tu cuenta bancaria vinculada por las comisiones adeudadas, reembolsos, contracargos y transferencias devueltas.
8Servicios de Terceros
Los Servicios pueden integrarse con herramientas o enlaces de terceros, incluyendo procesadores de pago, proveedores de verificación de identidad y proveedores de infraestructura. No somos responsables de su contenido, disponibilidad ni prácticas.
9Renuncia de Garantías
Los Servicios se proporcionan “tal cual” y “según disponibilidad”.
No damos garantía alguna sobre:
- La exactitud o confiabilidad de los resultados
- La disponibilidad o el tiempo de actividad
- La idoneidad para un fin particular
El uso de los Servicios es bajo tu propio riesgo.
10Limitación de Responsabilidad
En la máxima medida permitida por la ley, 11RED no será responsable por:
- Daños indirectos, incidentales o consecuenciales
- Pérdida de ganancias, datos u oportunidades de negocio
Nuestra responsabilidad total no excederá el monto que nos pagaste en los 12 meses anteriores a la reclamación.
11Indemnización
Aceptas defender, indemnizar y liberar de responsabilidad a 11RED y sus afiliadas frente a cualquier reclamación, daño o gasto que surja de:
- Tu uso de los Servicios
- Tu incumplimiento de estos Términos
- Tu infracción de derechos de terceros
12Terminación
Podemos suspender o terminar tu acceso en cualquier momento si violas estos Términos o representas un riesgo para la plataforma.
Al terminar:
- Tu derecho de uso de los Servicios cesa de inmediato
- Ciertas cláusulas (por ejemplo, responsabilidad e indemnización) sobreviven
13Resolución de Disputas y Arbitraje
Cualquier disputa derivada de estos Términos se resolverá mediante arbitraje vinculante, en lugar de un procedimiento judicial, salvo donde la ley lo prohíba.
Renuncias al derecho de participar en demandas colectivas.
14Cambios a los Términos
Podemos actualizar estos Términos ocasionalmente.
- Los cambios sustanciales se comunicarán por correo electrónico o mediante aviso en la plataforma
- El uso continuado de los Servicios constituye aceptación de los Términos actualizados
15Disposiciones Generales
- Estos Términos constituyen el acuerdo completo entre tú y 11RED
- Si alguna disposición se considera inaplicable, las demás siguen vigentes
- No puedes ceder estos Términos sin nuestro consentimiento
- Nosotros podemos cederlos sin restricción

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
2Description of Services
11RED.ai provides AI-powered tools, workflows, and software solutions designed to support business operations, automation, and decision-making. This includes Claro Invoice, which lets you create invoices by voice, collect deposits, schedule payment plans, and accept card and bank transfer payments.
We may update, modify, or discontinue features at any time without prior notice.
3Eligibility & Accounts
- You must be at least 18 years old and legally capable of entering into a contract.
- You agree to provide accurate and complete account information.
- You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
4Acceptable Use
You agree not to:
- Use the Services for unlawful or fraudulent purposes
- Reverse engineer, copy, or attempt to extract source code
- Interfere with or disrupt the Services or infrastructure
- Use automated systems (bots, scrapers) without permission
- Violate any applicable laws or regulations
Violation of these terms may result in suspension or termination of your access.
5Intellectual Property
All content, software, and materials provided through the Services (“Content”) are owned by Refugio AI or its licensors and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
You may not:
- Copy, modify, or distribute the Content
- Sell or sublicense access to the Services
- Use our trademarks without permission
6User Data & Outputs
- You retain ownership of data you submit to the Services (“User Data”).
- You grant 11RED a license to process and use your data to provide and improve the Services.
- AI-generated outputs — including voice-dictated invoices and their translations — are provided “as-is,” and you are responsible for reviewing and validating them before use.
7Payments & Subscriptions
- Certain features may require payment or subscription.
- Fees are billed as agreed at signup and are non-refundable unless stated otherwise.
- We may change pricing with prior notice.
Failure to pay may result in suspension or termination of Services.
Payment Processing (Claro Invoice)
Payments you collect through Claro Invoice are processed by Finix Payments, Inc. and its partner banks. To accept payments you must complete merchant verification and agree to the applicable Payment Processing Agreement, which is in addition to these Terms.
The card, bank transfer, and returned bank transfer fees in effect are those published on the pricing page at the time you sign up. You authorize us to debit your linked bank account for fees owed, refunds, chargebacks, and returned bank transfers.
8Third-Party Services
The Services may integrate with third-party tools or links, including payment processors, identity verification providers, and infrastructure providers. We are not responsible for their content, availability, or practices.
9Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis.
We make no warranties regarding:
- Accuracy or reliability of outputs
- Availability or uptime
- Fitness for a particular purpose
Use of the Services is at your own risk.
10Limitation of Liability
To the fullest extent permitted by law, 11RED shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, data, or business opportunities
Our total liability will not exceed the amount you paid to us in the 12 months preceding the claim.
11Indemnification
You agree to defend, indemnify, and hold harmless 11RED and its affiliates from any claims, damages, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your infringement of any third-party rights
12Termination
We may suspend or terminate your access at any time if you violate these Terms or pose a risk to the platform.
Upon termination:
- Your right to use the Services ends immediately
- Certain provisions (e.g., liability, indemnity) will survive
13Dispute Resolution & Arbitration
Any disputes arising from these Terms will be resolved through binding arbitration, rather than court proceedings, except where prohibited by law.
You waive the right to participate in class-action lawsuits.
14Changes to Terms
We may update these Terms from time to time.
- Material changes will be communicated via email or platform notice
- Continued use of the Services constitutes acceptance of updated Terms
15General Provisions
- These Terms constitute the entire agreement between you and 11RED
- If any provision is found unenforceable, the remaining provisions remain valid
- You may not assign these Terms without our consent
- We may assign these Terms without restriction
